AI USAGE & GOVERNANCE POLICY

This AI Usage & Governance Policy (“Policy”) describes how GenLogs Corporation (“GenLogs,” “we,” “our,” or “us”) uses artificial intelligence (“AI”) and machine learning (“ML”) technologies in connection with the GenLogs Service (as defined in the GenLogs Terms of Service, or, for Subscribers, the Master Subscription Agreement). This Policy supplements and is incorporated by reference into GenLogs’s Terms of Service, Master Subscription Agreement, and Privacy Policy. In the event of a conflict between this Policy and the Terms of Service or Master Subscription Agreement with respect to AI-related matters, the applicable agreement controls. Capitalized terms used but not defined in this Policy have the meanings given to them in the Terms of Service or, for Subscribers, the Master Subscription Agreement.

1. Scope and Use of AI/ML Technologies

This Policy applies to all AI and ML technologies used by GenLogs in connection with the Service, including:

(a) Sensor Data Processing.  GenLogs deploys a network of proprietary sensors that capture data related to commercial motor vehicle activity. AI/ML models process raw sensor observations, including identifying vehicle types, filtering out non-commercial vehicles, and correlating sensor data with known commercial motor carrier operations. These models are trained on GenLogs’s proprietary datasets and are designed to minimize false identifications.

(b) Data Enrichment and Analytics.  GenLogs uses AI/ML to enrich sensor-derived data by cross-referencing it with publicly available government records maintained by federal and state regulatory agencies and with aggregated data obtained from third-party sources. This enrichment process generates the analytics, scores, and insights that comprise GenLogs Data. The enrichment models are designed to match sensor observations to regulatory records with high confidence, and GenLogs applies statistical thresholds to minimize incorrect associations.

(c) Scoring and Risk Assessment.  GenLogs’s platform generates scores, risk indicators, and compliance assessments using proprietary ML models. These outputs are intended to assist customers and subscribers in making informed decisions about carrier vetting, safety evaluation, and regulatory compliance. GenLogs may also use AI tools, including large language models, to research, enrich, and organize information about shippers, facilities, and market activity presented through the Service. As further described in Section 4.3, GenLogs’s AI-generated outputs, including scores and assessments, are informational tools and are not intended to serve as the sole basis for any decision with legal, financial, or safety consequences. Customers and subscribers are responsible for exercising independent judgment and conducting their own due diligence when using GenLogs Data in decision-making.

(d) Operational AI.  GenLogs uses AI systems internally for fraud detection, data quality assurance, anomaly detection, and platform optimization.

(e) No Fully Autonomous Decision-Making.  GenLogs does not use AI to make fully autonomous decisions without human involvement. GenLogs’s AI systems generate data, scores, and insights that are provided to customers and subscribers as inputs to their own decision-making processes. GenLogs does not control, and is not responsible for, any downstream decisions made by customers or subscribers based on AI-generated outputs.

2. Data Inputs and Model Training

2.1. Training Data.  GenLogs’s AI/ML models are trained on: (a) proprietary sensor data, including historical observations of commercial motor vehicle activity; (b) publicly available government records maintained by federal and state motor carrier safety agencies; (c) synthetic and augmented datasets generated by GenLogs for model validation and performance testing; (d) aggregated and de-identified operational data derived from platform usage, in accordance with GenLogs’s agreements with its customers and subscribers; and (e) aggregated data obtained from third-party sources, which may include telematics, factoring, fuel-card, ELD, and insurance-related data.

2.2. Customer Data.  GenLogs may use de-identified, aggregated usage data and service telemetry — such as search and query activity, feature usage, and system performance data — to develop, train, and improve its models and services, provided such data is not linked to an identified or identifiable customer. GenLogs does not use Customer Data (as defined in the Terms of Service, or, for Subscribers, the Master Subscription Agreement) or customer-supplied content in identifiable form to train its AI/ML models unless expressly authorized by the customer through a written agreement, click-through consent, or other documented authorization mechanism. Customer Data processed through the Service is otherwise used solely for the purpose of providing the Service to that customer.

2.3. Third-Party AI Services.  GenLogs may use third-party AI/ML services (e.g., cloud-based inference APIs, computer vision services) as part of its data processing pipeline. All third-party AI service providers are subject to data processing agreements or otherwise contractually obligated to process data solely in accordance with GenLogs’s instructions and are prohibited from using GenLogs data to train their own models. GenLogs maintains a list of material third-party AI sub-processors and will make such list available to customers upon request.

3. Human Oversight and Accountability

GenLogs maintains human oversight over its AI systems. AI/ML models used in the Service are developed, adapted, or validated by GenLogs’s data science and engineering teams under documented development processes, and may incorporate or build upon commercially available models. GenLogs conducts periodic quality reviews of AI-generated outputs and addresses identified issues through its internal review processes. GenLogs maintains an AI risk-management program appropriate to its role as a data and analytics provider, under which models are subject to internal review standards before deployment and ongoing performance validation, with material issues escalated for corrective action. GenLogs has designated its Chief Technology Officer and senior engineering and data analytics leadership as accountable for AI governance, including model performance monitoring, bias assessment, and compliance with this Policy.

4. Accuracy, Reliability, and Limitations

4.1. Performance Standards.  GenLogs is committed to maintaining the accuracy and reliability of its AI-generated outputs. GenLogs applies internal review standards before models are deployed to its production systems, validates model performance on an ongoing basis, and implements corrections when material performance issues are identified.

4.2. Known Limitations.  GenLogs’s AI systems are subject to inherent limitations, including: (a) sensor data quality may be affected by environmental conditions, equipment positioning, and signal interference; (b) regulatory records used for data enrichment may contain errors, omissions, or stale information that GenLogs cannot independently verify; (c) scoring and risk models are probabilistic in nature and should not be treated as deterministic assessments; and (d) AI-generated outputs may not account for facts or circumstances not available to GenLogs’s systems at the time of processing.

4.3. Disclaimer.  All AI-generated outputs provided through the Service are provided on an “as is” and “as available” basis. AI-generated outputs are subject to the warranty disclaimers and liability limitations set forth in the applicable Terms of Service or Master Subscription Agreement. GenLogs does not warrant that AI-generated outputs will be error-free, complete, or suitable for any particular purpose. AI-generated outputs are informational tools and are not intended to serve as the sole basis for any decision with legal, financial, or safety consequences.

5. Fairness and Bias Prevention

GenLogs is committed to developing and deploying AI systems that are fair and do not produce discriminatory outcomes. GenLogs periodically reviews its scoring and risk models for indicia of disparate or unfair impact. If bias is identified, GenLogs will take corrective action, which may include retraining models, adjusting scoring parameters, or removing affected outputs from the Service. The use of GenLogs Data in decisions about an individual’s eligibility for employment, credit, housing, or insurance is restricted as set forth in Section 7 (Consumer Rights, Automated Processing, and Use in Regulated Decisions), and GenLogs Data should not be used for any purpose where automated scoring could produce unlawful discriminatory effects on individuals.

6. Transparency

GenLogs will, upon request, provide customers and subscribers with a general explanation of the types of data inputs, key factors, and general logic that contribute to specific scores or risk assessments generated through the Service. GenLogs is not obligated to disclose the specific algorithms, model weights, training data, or proprietary methodologies underlying its AI systems, as these constitute GenLogs’s trade secrets and confidential information. GenLogs will provide additional information about its AI practices upon reasonable request, subject to the protection of trade secrets and proprietary methodologies.

7. Consumer Rights, Automated Processing, and Use in Regulated Decisions

The Service does not currently use AI to make automated decisions producing legal or similarly significant effects on individuals. GenLogs does not control how customers and subscribers use GenLogs Data in their own decision-making processes, and customers and subscribers are responsible for determining whether their use of GenLogs Data triggers consumer opt-out or other rights under applicable automated decision-making frameworks. Individuals or customers who believe that GenLogs Data is inaccurate may submit a correction request to GenLogs using the contact information set forth in Section 11. GenLogs will review such requests and correct data it determines to be inaccurate.

Use in Regulated Decisions.  GenLogs Data, scores, and other outputs of the Service are informational inputs to decisions that customers and subscribers make and govern. Customers and subscribers are solely responsible for their own decision-making processes, including compliance with any testing, documentation, human-review, non-discrimination, and adverse-action requirements that apply to their use of GenLogs Data in regulated decisions. Where GenLogs Data is used in connection with decisions subject to regulatory requirements, the customer or subscriber is responsible for maintaining appropriate human review and its own compliance processes as required by applicable law.

Fair Credit Reporting Act.  GenLogs is not a “consumer reporting agency” and GenLogs Data does not constitute a “consumer report” within the meaning of the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.). GenLogs Data may not be used as a factor in establishing an individual consumer’s eligibility for credit, insurance, employment, or housing, or for any other personal, family, or household purpose, and may not be used in any manner that would cause GenLogs Data to constitute a consumer report. Use of GenLogs Data for any such prohibited purpose is a material breach of the applicable agreement with GenLogs.

8. AI Security and Model Governance

GenLogs implements security measures to protect its AI systems, including access controls limiting model training and deployment to authorized personnel and version control for model changes. GenLogs may implement additional AI-specific security measures as its AI governance program matures. Suspected issues with AI system outputs may be reported through GenLogs’s customer support channels and are reviewed and addressed through GenLogs’s internal processes.

9. Regulatory Compliance

GenLogs monitors the evolving regulatory landscape for AI governance requirements, including but not limited to the Colorado AI Act, the Virginia Consumer Data Protection Act’s automated decision-making and profiling provisions, the NIST AI Risk Management Framework, and other applicable state and federal legislation and standards. GenLogs will update this Policy and its AI practices as necessary to maintain compliance with applicable laws. GenLogs conducts at least an annual review of this Policy against applicable legal and regulatory developments.

10. Changes to This Policy

GenLogs may update this Policy from time to time to reflect changes in our AI practices, technology, or applicable legal requirements. Material changes will be communicated through our website and, where required, directly to affected customers and subscribers. The “Last Updated” date at the top of this Policy indicates when the most recent changes were made.
